Terms of Service

By accessing or using the Cerbite application, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is provided by AI Invest LLC ("Company", "we", "us", or "our"), a Delaware limited liability company. If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including free and paid subscribers.

Cerbite is an AI-powered meeting notes application that provides real-time meeting transcription, AI-generated summaries and action items, natural language chat with meeting history, customizable note templates, and cross-device synchronization. The Service is available through mobile applications (iOS and Android) and web interfaces.

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at support@ai-invest.vc if you become aware of any unauthorized use of your account.

Cerbite offers the following plans:

• Free Plan: Includes 30 meetings, AI chat with all meetings, and customizable template creation.
• Pro Plan ($15/month): Includes unlimited meeting usage, AI-powered meeting chat, custom note template creation, priority support, and all future premium features.

Paid subscriptions are billed monthly in advance. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. We reserve the right to modify pricing with 30 days advance notice to subscribers.

You retain all rights to the content you create, upload, or input into the Service ("User Content"), including meeting recordings, transcriptions, notes, and templates. By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and represent that you have all necessary rights and permissions to input such content into the Service, including consent from meeting participants where required by applicable law.

The Service uses artificial intelligence to transcribe, summarize, and analyze meeting content. You acknowledge that AI-generated outputs may not be perfectly accurate and should not be relied upon as the sole record of any meeting, agreement, or decision.

We do not use your User Content to train general-purpose AI models. Your meeting data is processed solely to provide the Service to you and is handled in accordance with our Privacy Policy.

You agree not to use the Service to: violate any applicable law or regulation; record meetings without proper consent from all participants; upload content that infringes on intellectual property rights; attempt to reverse-engineer, decompile, or extract source code from the Service; interfere with or disrupt the Service or its infrastructure; create derivative works based on the Service; or use the Service for competitive benchmarking or analysis.

The Service, including its original content, features, functionality, design, and branding (excluding User Content), is and will remain the exclusive property of AI Invest LLC and its licensors. The Cerbite name, logo, and all related marks are trademarks of AI Invest LLC. You may not use our trademarks without prior written consent.

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may terminate your account at any time by contacting us at support@ai-invest.vc. Upon termination, your right to use the Service will cease immediately. We will make your User Content available for export for 30 days following termination, after which it may be permanently deleted.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI INVEST LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website and, for registered users, by email notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.
